GENERAL TERMS AND CONDITIONS OF ZIZICACHE

These Terms of Use („Terms“) govern your purchase and use of ZiziCache products and related services.
1. Agreement
This is a legal agreement between:

and you (individual or legal entity) purchasing or using ZiziCache.
By purchasing, activating a license, or using ZiziCache, you agree to these Terms.

2. Service Description and License Plans
ZiziCache is a premium WordPress performance plugin and related digital service.
Available license tiers include:
Starter – 1 Website
Small – Up to 20 Websites
Pro – Unlimited Websites
License duration is typically 12 months unless a different duration is shown at checkout.
License limits
Activation limits and plan details are defined by the selected plan in checkout and reflected in order/license metadata. If marketing text differs from checkout/order data, checkout/order/license metadata prevails.
3. Account and License Key
To access premium features, updates, and support, you may need an account and a valid license key.
You must:
– keep login credentials and license key confidential,
– use the license only within purchased limits,
– notify us without undue delay if you suspect misuse.
License sharing, unauthorized redistribution, or circumvention of activation limits is prohibited.
4. Subscriptions, Renewals, and Cancellation
Some plans may be sold as subscriptions with automatic renewal.
– Renewal terms, billing frequency, and renewal amount are shown at checkout.
– You may cancel renewal before the next charge date in your customer portal.
– After cancellation, access remains active until the current paid period ends.
Trial availability (if any) and billing timing are governed by checkout details and our Refund Policy.
5. Pricing, Merchant of Record, and Payment Processing
Prices are shown at checkout unless explicitly stated otherwise.
Payments are processed by Lemon Squeezy, acting as:
– Merchant of Record (MoR), and
– payment processor for your transaction.
This includes transaction processing, invoicing, and tax/VAT handling in applicable jurisdictions.
By completing checkout, you also accept the relevant Lemon Squeezy buyer/payment terms.
6. Delivery of Digital Content
After successful payment (or valid trial activation), digital access is provided without undue delay, typically via:
– account/license activation,
– download access,
– transactional email confirmation.
7. Refunds and Consumer Withdrawal Rights (EU/CZ)
Our commercial refund windows and trial rules are set out in the current Refund Policy.
If you are a consumer under Section 419 of Czech Civil Code, you generally have a 14-day withdrawal right under Section 1829(1), unless an exception applies.
For digital content not supplied on a tangible medium, withdrawal right may be lost once performance begins, where legally required conditions are met (including explicit prior consent and acknowledgment under Section 1837 Czech Civil Code).
Nothing in these Terms limits mandatory consumer rights under applicable law.
8. Support and Updates
During an active license period, we provide:
– plugin updates,
– support communication (typically Mon–Fri, 10:00–15:00 CET unless stated otherwise).
Support may be limited or unavailable for:
– modified/obfuscated code,
– unsupported server configurations,
– third-party issues outside ZiziCache scope.
9. Intellectual Property and Trademarks
ZiziCache software, branding, source code, design assets, and related materials are protected by intellectual property laws.
You receive a limited, non-exclusive, non-transferable license to use the software according to your purchased plan and these Terms.
You may not claim ownership of ZiziCache intellectual property.
10. Prohibited Use
You may not, unless explicitly permitted in writing:
– resell or sublicense license keys,
– bundle ZiziCache as part of unauthorized mass hosting integration,
– reverse engineer or bypass licensing/activation controls,
– use the service in a way that violates applicable law.
11. Suspension and Termination
We may suspend or terminate access for material breach of these Terms, including abuse, fraud, or unauthorized license resale.
Where reasonably possible, we may provide prior notice; however, immediate suspension may occur for security or legal reasons.
Termination does not affect accrued payment obligations.
12. Third-Party Services and Links
Our website or plugin may reference third-party services or links. We are not responsible for third-party content, availability, or policies.
Where optional integrations are used, additional third-party terms may apply.
13. Warranty Disclaimer and Compatibility
ZiziCache is provided „as is“ and „as available“ to the extent permitted by law.
We aim for broad compatibility but do not guarantee flawless operation in all environments (all themes/plugins/hosting/browser combinations). Compatibility issues may occur in complex or non-standard stacks.
14. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from use or inability to use the service.
These limitations do not exclude liability where exclusion is not allowed by law, including intent or gross negligence.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Czech Republic.
For B2B customers, local jurisdiction is the competent court at Provider’s registered office, unless mandatory law states otherwise.
Consumers may use out-of-court dispute resolution, especially via:
– Czech Trade Inspection Authority (ČOI): https://coi.gov.cz/
EU notice: the former ODR platform (`ec.europa.eu/consumers/odr`) was discontinued. Consumer redress information is available at: https://consumer-redress.ec.europa.eu/
16. Transactional Communications
By purchasing or using licensed services, you agree to receive transactional communications related to:
– account and licensing,
– renewals and expiration notices,
– service/security updates,
– legal policy updates.
17. Changes to These Terms
We may update these Terms from time to time.
The latest version is effective from the date shown above and applies prospectively. Changes do not retroactively alter rights and obligations under already concluded contracts unless required by law.
